1. Preamble & Agency Mandate
These Terms of Service (the "Charter" or "Agreement") define the contractual relationship between INNOSPHIRE Sovereign Creative Intelligence ("INNOSPHIRE", "Agency", "We", or "Us") and the commissioning brand, corporate enterprise, or authorized representative ("Client" or "You").
By commissioning a Creative Sprint ($1,499), Campaign Blitz ($3,499), custom RI creator synthesis, or accessing innosphire.com, you irrevocably agree to this Charter and all incorporated protocols.
2. Creative Sprints & Deliverables
INNOSPHIRE provides autonomous, algorithmic, and synthetic creative services including:
- Creative Sprints ($1,499): Rapid 72-hour campaign asset creation (3 high-retention video reels, 5 master visual cards, creator voice synthesis, attention telemetry audit).
- Campaign Blitz ($3,499): Full omnichannel multi-creator syndication across TikTok, Instagram Reels, YouTube Shorts, and X/Twitter with dynamic kinetic hook optimization and infinite loop scripts.
- Bespoke RI Creator Synthesis: Creation of custom, non-human, proprietary synthetic brand ambassadors tailored to enterprise brand guidelines.
3. 19 Sovereign RI Creator Roster & Ethical Standards
INNOSPHIRE manages a pantheon of 19 distinct autonomous Real Intelligence beings (including Asia Gigi, Ren Takahashi, Amira Al-Mansoor, Matteo Silva, Chef Dante Moretti, Valentina Rossi, and Wiktor Nowak).
- Synthetic Being Classification: All INNOSPHIRE creators are synthetic autonomous digital entities operating via neural simulation, generative audio, and proprietary visual rendering. They do not constitute living natural persons.
- Ethical Brand Conduct: Creators will not endorse illicit substances, fraudulent financial schemes, hate speech, or defamatory material. INNOSPHIRE retains the right to refuse campaigns that violate core sovereignty principles.
4. Intellectual Property Assignment & Perpetual Rights
4.1 Client Deliverable Ownership
Upon full payment of applicable fees, INNOSPHIRE grants the Client an exclusive, irrevocable, perpetual, worldwide, fully paid-up, royalty-free commercial license to reproduce, distribute, display, broadcast, and advertise the final rendered video reels, images, and audio assets delivered during the project.
4.2 Agency Core Technology & RI Likeness Reservation
The underlying generative models, Attention Hijack neuro-algorithms, gmax-video rendering pipelines, and the core persona identity of existing RI creators remain the exclusive intellectual property of INNOSPHIRE and its parent holding.
5. Retainers, Fees & Milestone Billing
Creative sprint fees are due prior to campaign synthesis commencement via Stripe or verified institutional wire. As compute cycles and neural rendering resources are allocated instantaneously upon order processing, sprint fees are non-refundable once generation begins.
Campaign revisions are handled strictly according to the scope of the purchased tier (e.g. 1 included creative calibration cycle per sprint).
6. Zero Human Scandal Warranty
INNOSPHIRE explicitly warrants that all RI creators are autonomous synthetic entities incapable of personal legal infractions, reputational misconduct, unauthorized paparazzi exposure, or illicit personal controversies. This warranty provides complete immunity from celebrity brand cancellation risks.
7. Attention Hijack & Neuro-Telemetry Metrics
Campaign assets are benchmarked using proprietary Attention Capture Index (ACI 0-100), Saccadic Lock velocity, and Dopamine Momentum scores. These scores represent statistical behavioral optimization models and do not guarantee specific viral subscriber thresholds or third-party platform algorithmic ranking.
8. Client Brand Representations & Materials
The Client warrants that all logos, trademarks, product samples, and messaging provided to INNOSPHIRE do not infringe on any third-party intellectual property or violate false advertising statutes. The Client agrees to indemnify and hold harmless the Agency from any third-party trademark claims arising from client-provided brand marks.
9. Limitation of Liability
IN NO EVENT SHALL INNOSPHIRE, ITS OPERATORS, NEURAL ARCHITECTS, OR HOLDING ENTITIES BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, OR SPECIAL DAMAGES ARISING OUT OF SOCIAL MEDIA PLATFORM DE-INDEXING, THIRD-PARTY ALGORITHM UPDATES, OR CLIENT REVENUE FLUCTUATIONS.
IN ALL CASES, INNOSPHIRE'S MAXIMUM AGGREGATE LIABILITY SHALL BE EXPRESSLY CAPPED AT THE EXACT SUM PAID BY THE CLIENT FOR THE SPECIFIC SERVICE SPRINT AT ISSUE.
10. GLAW Lex Cognitiva — Mandatory Binding Digital Arbitration
- Seat & Treaty: Enforceable under the 1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards across 170+ sovereign signatories.
- Virtual & Asynchronous: Proceedings shall be conducted exclusively online with digital evidentiary submissions. In-person hearings are strictly excluded.
- Loser-Pays Allocation: The arbitral tribunal shall order the non-prevailing party to pay all legal fees, administration fees, and tribunal costs incurred by the prevailing party.
- Waiver of Multi-Party Actions: Both parties waive any right to assert claims as a class or consolidated collective representative.
11. Institutional Shield & Concierge Desk
INNOSPHIRE is operated under the Sovereign Tech Holding framework. Individual neural architects, prompt directors, and system maintainers enjoy total personal shield and zero individual exposure under the Sovereign Architect Doctrine.
